By purchasing, accessing, or using any products from Valent Holdings, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not purchase or use our products.

2. Product Description and Warranty

2.1 Product Support

We stand behind our products and want you to be confident in your purchase. We provide comprehensive support for legitimate product issues, including:

  • Software bugs or malfunctions
  • Hardware defects under normal use conditions
  • Functionality issues that prevent intended operation
  • Setup and configuration assistance

2.2 Warranty Period

Products are covered under warranty for 60 days from the date of purchase for manufacturing defects and software issues under normal use conditions.

2.3 Warranty Coverage

Our warranty covers:

  • Manufacturing defects in materials and workmanship
  • Software bugs that prevent normal operation
  • Electrical failures under normal operating conditions
  • Component failures during standard use

3. Warranty Exclusions and Limitations

3.1 Physical Damage and Misuse

The following actions VOID all warranty coverage and support obligations:

  • Physical damage including drops, impacts, crushing, or vehicle damage
  • Water damage or exposure to liquids
  • Tampering including opening the device case or housing
  • Modification of hardware or firmware
  • Reverse engineering attempts or unauthorized disassembly
  • Electrical damage from improper power sources or static discharge

3.2 Evidence of Tampering

Any evidence of the following immediately voids warranty and refund eligibility:

  • Broken or removed security seals
  • Tool marks on screws or housing
  • Modified firmware or software
  • Unauthorized component replacement
  • Signs of circuit board probing or testing

3.3 Misuse Conditions

Warranty does not cover damage from:

  • Operating outside specified environmental conditions
  • Using incorrect power sources or adapters
  • Connecting to incompatible devices
  • Software modification attempts
  • Use contrary to provided instructions

4. Refund and Return Policy

4.1 Eligible Returns

Refunds are available within 15 days of purchase if the original product is returned in original packaging and clearly unused. These units are hard and expensive to make and we are a small business – we cannot support buy-before-you-try purchases.

4.2 Return Requirements

To qualify for refund, products must:

  • Be returned in original packaging with all accessories
  • Show no signs of tampering or disassembly
  • Be requested within the specified return period

4.3 Non-Refundable Conditions

NO REFUNDS will be provided for products showing:

  • Physical damage from drops, impacts, or mishandling
  • Evidence of case opening
  • Any evidence of disassembly attempts
  • Water damage or liquid exposure
  • Tampering with internal components
  • Reverse engineering attempts
  • Use outside specified operating parameters

5. Technical Support

5.1 Support Scope

We provide technical support for:

  • Initial setup and configuration
  • Software functionality questions
  • Troubleshooting operational issues
  • Compatibility guidance

5.2 Support Limitations

Technical support does not cover:

  • Damage from user modification attempts
  • Third-party software integration beyond documented specifications
  • Recovery from tampering attempts
  • Custom firmware requests
  • General support of products or product integration that can otherwise be found on Google

6. Intellectual Property Protection

6.1 Proprietary Technology

Our products contain proprietary hardware designs, firmware, and algorithms protected by US intellectual property laws. These products take a great deal of individual time and effort to develop and market and they are known to be novel in the industry – reverse engineering is not appreciated.

6.2 Prohibited Activities

Users are prohibited from:

  • Reverse engineering hardware or software components
  • Attempting to extract or duplicate firmware
  • Circumventing security measures
  • Creating derivative products based on our designs

6.3 Legal Enforcement

Violations of intellectual property rights will be persecuted to the fullest extent of the law.

7. Limitation of Liability

7.1 Warranty Limitation

EXCEPT AS EXPRESSLY PROVIDED HEREIN, PRODUCTS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

7.2 Damage Limitation

Our liability is limited to the purchase price of the product. We are not responsible for:

  • Consequential or incidental damages
  • Lost data or business interruption
  • Damages from product misuse or modification
  • Third-party claims or damages

8. User Responsibilities

8.1 Proper Use

Users agree to:

  • Report issues promptly for warranty consideration
  • Contact staff at cipherpod.info with any indication of malfunction
  • Operate products within specified parameters
  • Follow all provided instructions and safety guidelines
  • Maintain products in appropriate environmental conditions

8.2 Prohibited Actions

Users must not:

  • Attempt to open, modify, or repair products
  • Use products for unintended purposes
  • Expose products to damaging conditions
  • Attempt to circumvent security features

9. Privacy and Data

We reserve the right to update these Terms and Conditions. Continued use constitutes acceptance of modified terms.

10.2 Product Updates

The Cipherpod is a secured device, firmware upgrades are not available. Installation of unauthorized firmware voids all warranties.

11. Governing Law

These terms are governed by the laws of The United States of America. Any disputes shall be resolved in the courts of Colorado.

12. Severability

If any provision of these terms is deemed invalid, the remaining provisions remain in full effect.
